Terms of Service

These Terms of Service (“Terms”) govern your use of Nidra as a signed-in or paying user: the mobile applications, your use of api.nidra.io and connected features (personalised sleep audio, appointments, orders, consult flows where offered), and Nidra web touchpoints tied to the same account or purchase. By creating an account, downloading or using our apps, buying Nidra products, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be legally able to enter a binding contract in your jurisdiction. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your credentials and device. Notify us promptly at contact@nidra.io if you suspect unauthorised access.
2. Nature of the Services (wellness, not medical care)
Nidra provides wellness and lifestyle tools, including personalised sleep audio created from your brain activity recorded during a short wind-down with your Nidra Headband. The Services are not medical devices and do not diagnose, treat, cure, or prevent any disease or medical condition. Always seek advice from a qualified healthcare professional for health concerns. You assume responsibility for how you use the Services.
3. Acceptable use
You agree not to misuse the Services, including by: attempting to gain unauthorised access; interfering with security or performance; reverse engineering except where permitted by law; scraping or automated access that overloads our systems; using the Services to violate law or third-party rights; or uploading unlawful, harmful, or infringing content.
4. Products, orders, and payments
Hardware, accessories, or digital offerings may be offered from time to time. Prices, taxes, shipping, and availability are shown at checkout or in-app where applicable. Payments are processed by our payment partner (Stripe). You authorise us and Stripe to charge your selected payment method for approved transactions. Risk of loss and title for physical goods pass in accordance with carrier terms and our shipping policy communicated at purchase.
India: consumer information: If you are a consumer in India, mandatory rights under the Consumer Protection Act, 2019 and related e-commerce rules (where applicable) may apply to your purchase, including in relation to disclosures, unfair trade practices, and grievance handling. Nothing in these Terms excludes or limits rights that cannot legally be waived.
5. Subscriptions and changes
We may introduce or change subscription features, pricing, or service components with reasonable notice where required by law. Continued use after changes may constitute acceptance; if you do not agree to material changes, you should stop using the Services and may close your account where the product allows.
6. Intellectual property
Nidra names, logos, UI, software, algorithms, documentation, and marketing content are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable licence to use the Services in line with these Terms. You may not copy, modify, distribute, sell, or lease our software or branding except as expressly permitted.
Subject to these Terms and our Privacy Policy, you retain rights in content you submit (for example profile information). You grant us a licence to host, process, transmit, and display such content solely to operate and improve the Services.
7. Third-party services
The Services may integrate third-party SDKs or links (for example video, maps, analytics, or app stores). Their use is subject to those third parties’ terms and privacy policies. We are not responsible for third-party sites or services you access outside our control.
8. Service warranty disclaimer
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation.
9. Limitation of liability
To the maximum extent permitted by law, Nidra and its affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising from or related to the Services. Our aggregate liability for claims arising out of the Services in any twelve-month period is limited to the greater of (a) GBP 100 or (b) the amounts you paid to Nidra for the Services in that period (excluding amounts passed through to third parties such as payment processors), except where liability cannot be limited by law (including death or personal injury caused by negligence, fraud, or other non-waivable rights).
10. Indemnity
You will defend and indemnify Nidra against claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or violation of third-party rights, except to the extent caused by our wilful misconduct.
11. Suspension and termination
We may suspend or terminate access to the Services if you materially breach these Terms, create risk or legal exposure, or where required by law. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, and disputes) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, subject to mandatory local consumer protections where you reside.
If you are a consumer in India, you may also benefit from non-waivable rights under Indian law (including consumer protection and data protection). For disputes, you agree first to contact contact@nidra.io so we can try to resolve the matter informally. If we cannot resolve a dispute within a reasonable period, courts or tribunals with competent jurisdiction may hear the matter as determined under applicable law.
13. Export and sanctions
You may not use or export the Services in violation of export control or sanctions laws.
14. Changes to these Terms
We may modify these Terms. We will post the updated version and revise the “Last updated” date. Where required, we will provide additional notice. Your continued use after the effective date may constitute acceptance.
